Foxy Terms and Conditions

Acceptance of Terms

By accessing, downloading, or using the Foxy mobile application, website, and related services (collectively, the “Services”), you agree to these Terms and Conditions (“Terms”), our Privacy Policy, and any other policies we publish. If you do not agree to these Terms, you must not use the Services.

These Terms form a binding agreement between you and MIRAI LABS (UK) LTD ("Foxy," "we," "us," or "our"). Continued use after updates means you accept the revised Terms.

Eligibility

You must be at least 13 years old (or 16 in certain jurisdictions like the EEA and UK) to use the Services. If under 18, parental or legal guardian consent is required.

We may suspend or terminate accounts that violate these requirements.

Account Registration and Security

• Provide accurate and complete information.
• Keep your credentials secure and confidential.

You are responsible for all activity under your account. Foxy is not liable for losses arising from your failure to protect your account.

Use of the Services

Foxy grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes, subject to these Terms.

You must not:

• Use the Services for unlawful, harmful, or exploitative purposes.
• Upload or share content that is illegal, obscene, defamatory, infringing, or abusive.
• Attempt to reverse-engineer, decompile, or modify any part of the Services.
• Use automated scripts, bots, or data mining tools without express permission.
• Interfere with the operation of the Services or the experience of others.

We reserve the right to monitor and moderate user activity, remove content, or restrict access for violations of these Terms.

User Content

"User Content" includes any material you upload, post, transmit, or create through the Services, including text, images, voice recordings, AI chats, and character profiles.

By submitting User Content, you:

• Grant Foxy a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, display, distribute, and modify your content for the purpose of operating, improving, and promoting the Services.
• Represent that you have the legal rights to the content and that it does not infringe upon any third-party rights.

Foxy has no obligation to monitor or moderate User Content but reserves the right to remove or restrict access to any content that violates these Terms or applicable law.

AI Interactions and Disclaimers

Foxy provides AI-generated content, including dialogues, scenarios, and character interactions, for entertainment and companionship purposes only. You understand and agree that:

• AI outputs may contain fictional, speculative, or simulated content.
• Foxy does not guarantee factual accuracy, appropriateness, or reliability of AI responses.
• AI content is not a substitute for professional advice (legal, financial, medical, psychological, or otherwise).
• You are solely responsible for your interactions with the AI and for any actions taken based on AI outputs.

Foxy expressly disclaims liability for any consequences arising from reliance on AI-generated content.

Payments, Subscriptions, and Refunds

Foxy offers optional Paid Features, such as premium subscriptions, in-app credits, and exclusive content. Payments are processed by third-party providers (e.g., Apple App Store, Google Play) under their respective terms.

By purchasing Paid Features, you agree that:

• All purchases are final and non-refundable, except as required by law.
• Subscription services automatically renew unless cancelled before the end of the current billing period.
• Prices may vary by region and are subject to change.
• You are responsible for managing your subscriptions through your app store settings.

Foxy reserves the right to modify or discontinue Paid Features at any time.

Intellectual Property

All intellectual property rights in the Services, including the Foxy name, logos, graphics, AI models, software, and content (excluding User Content), belong to MIRAI LABS (UK) LTD or its licensors. You may not use, reproduce, distribute, or create derivative works based on our intellectual property without prior written permission.

All rights not expressly granted are reserved.

Zero Tolerance Policy

Foxy has zero tolerance for objectionable content or abusive users. Any account engaging in harassment, hate speech, threats, exploitation, or similar conduct will be suspended or terminated immediately.

Termination

You may stop using Foxy at any time by deleting your account. We may suspend or terminate your access without notice if you breach these Terms, violate applicable laws, or engage in behavior that harms the community or the integrity of the Services.

Upon termination:

• Your license to use the Services is revoked.
• We may retain User Content as described in our Privacy Policy.
• Sections of these Terms intended to survive termination (e.g., disclaimers, liability limits) will remain in effect.

Disclaimers

Foxy is provided “as is” and “as available.” To the fullest extent permitted by law:

• We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
• We do not guarantee uninterrupted service, error-free functionality, or that AI-generated content will meet your expectations.
• You use the Services at your own risk.

Limitation of Liability

To the maximum extent allowed by law:

• Foxy, its affiliates, directors, officers, employees, and partners are not liable for indirect, incidental, consequential, punitive, or special damages, including lost profits, data, or goodwill.
• Our total liability to you for any claims related to the Services is limited to the greater of **$100 USD** or the total amount you paid to Foxy in the past 12 months.

These limitations apply even if we were advised of the possibility of damages.

Indemnification

You agree to indemnify and hold harmless Foxy, its affiliates, officers, employees, and partners from any claims, liabilities, damages, or expenses (including legal fees) arising from: -

• Your use of the Services.
• Your User Content.
• Your violation of these Terms or applicable laws.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the United Kingdom.

Any disputes, claims, or controversies arising from or relating to these Terms or the Services shall be resolved exclusively through binding arbitration in the United Kingdom. However, Foxy may seek injunctive or equitable relief for intellectual property violations or unauthorized use of the Services in any competent court.

Regional Rights and Compliance

We comply with applicable global data laws including GDPR, CCPA/CPRA, and others. See our Privacy Policy for more information on your rights.

• GDPR (EEA/UK): Your rights as a data subject are outlined in the Privacy Policy.
• CCPA/CPRA (California): You have rights regarding your personal data as detailed in the Privacy Policy.
• Nevada: You may opt out of data sales as described in the Privacy Policy.

General Terms

• Entire Agreement: These Terms, the Privacy Policy, and any additional policies constitute the full agreement between you and Foxy.
• Severability: If any provision is held unenforceable, the remaining provisions remain valid.
• No Waiver: Our failure to enforce a provision is not a waiver of that right.
• Assignment: You may not assign your rights under these Terms. Foxy may assign its rights without restriction.
